Terms of Service
Effective 2026-06-29. Please read carefully — this is a binding agreement.
1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between you and [OPERATOR ENTITY NAME]("ThrifterOS," "we," "us," or "our") governing your access to and use of the ThrifterOS website, application, and related services (the "Service"). By creating an account, accessing, or using the Service you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
- You must be at least 18 years old to create an account or use the Service.
- You must have the legal capacity to enter into a binding contract in your jurisdiction.
- You must not be located in, or a resident of, any jurisdiction subject to a U.S. government embargo or designated as a "terrorist supporting" country.
- You must not be on any U.S. government list of prohibited or restricted parties.
We do not knowingly collect personal information from anyone under 18. If we become aware that we have collected such information, we will delete the account and the associated data.
3. Account Access
Access to the Service requires registration. Possession of any access credential (including an invite code, if applicable) does not grant a permanent right to use the Service. We may revoke access credentials and terminate accounts at any time, with or without cause, consistent with Section 14.
4. Your Account
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You agree to provide accurate, current, and complete information during registration.
- You will notify us promptly of any unauthorized use of your account.
- One person may not maintain multiple accounts without our prior written consent.
5. The Service: What ThrifterOS Is (and Isn't)
ThrifterOS is a software tool for individual thrifters, flippers, and resellers to track inventory, manage cross-platform listings, record transactions, and discover items listed by other users.
ThrifterOS is not a marketplace and is not a party to transactions between users or between users and third-party marketplaces. When you list an item on any third-party marketplace, your contract for that sale is with that marketplace and the buyer — not with us. We do not handle payments, hold funds, authenticate items, or guarantee transactions.
5b. Inventory Records & Self-Service Export
ThrifterOS provides a self-service CSV export of your full vault inventory and transaction history from Settings → Export. The export includes a signed metadata header (your owner ID, generation timestamp, schema version) that lets the file serve as a contemporaneous record of your inventory for insurance claims, estate planning, divorce or probate inventory, business records, or any other recordkeeping use case.
We make no warranty that the export will be accepted by any specific insurer, court, or third party. Each institution has its own evidentiary requirements. The export is best understood as a structured digital record of what you tracked in ThrifterOS at the time of export — not as a notarized appraisal, legal affidavit, or guaranteed-admissible business record. Consult appropriate professionals (insurance agent, attorney, tax professional) for the documentation your situation requires.
6. User Content
"User Content" means any information, photos, descriptions, item data, listings, watchlist entries, prospects, comments, profile information, or other material you submit to or through the Service.
You retain all rights to your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and process your User Content solely for the purposes of operating and improving the Service, including rendering public-profile items to other users when you have explicitly opted those items into a public visibility state.
You represent and warrant that: (a) you own or have the necessary rights to your User Content, (b) the User Content does not infringe any third-party intellectual property, privacy, or other rights, and (c) the User Content complies with these Terms and applicable law.
Photos of items: you represent that you have the right to take and submit photos of any items you upload, and that those items are in your lawful possession.
7. AI-Assisted Features
The Service includes features that send User Content (such as item photos, or structured fields you've typed) to Anthropic, PBC(the Claude API provider) for processing. In the product these features are branded “Thrifter Vision” and include single-item photo intake (/vault/intake), bulk intake (/vault/bulk), shelf sweep (/vault/sweep), and AI-generated listing descriptions on the item form. You consent to this processing when you use these features. Anthropic processes API submissions as a data processor under contract and, per their API terms, does not retain submissions to train their models. See our Privacy Policy for the full vendor list.
AI output is not professional advice.Item identifications, condition assessments, price estimates, and flip-potential rankings produced by AI are educated guesses based on the model's training data. They are not real-time market data and may be inaccurate. You are responsible for independently verifying any AI-generated information before acting on it.
8. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- List items you do not have the legal right to sell.
- List counterfeit, stolen, recalled, hazardous, or otherwise prohibited goods, or goods whose sale is restricted in your jurisdiction.
- Submit fraudulent, misleading, or knowingly inaccurate item descriptions, prices, or transaction records.
- Infringe the intellectual property rights of others, including by uploading unauthorized photos or by using brand names, logos, or product images without authorization.
- Harass, threaten, impersonate, or harm any user.
- Attempt to access another user's account, data, or private information without authorization.
- Reverse engineer, scrape at scale, or interfere with the Service's operation, security, or infrastructure.
- Use automated means (bots, crawlers, scrapers) to access the Service, except for public-search-engine indexing of pages we explicitly make public.
- Resell, redistribute, or commercially exploit the Service or its data without our written permission.
- Use the Service in any manner that could damage, disable, overburden, or impair our systems.
9. Third-Party Marketplaces and Integrations
The Service may integrate with third-party marketplaces (e.g., eBay) via their official APIs. Your use of those integrations is also subject to the third party's terms. We are not responsible for the availability, accuracy, or behavior of third-party services, and we may modify or discontinue integrations without notice.
10. Intellectual Property
The Service, including its software, interface, design, logo, and other materials (excluding User Content), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes consistent with these Terms. No other rights are granted.
11. Copyright Complaints (DMCA)
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a written notice to [DESIGNATED AGENT EMAIL] containing: (a) your physical or electronic signature, (b) identification of the copyrighted work, (c) identification of the allegedly infringing material with sufficient detail to locate it, (d) your contact information, (e) a statement of good faith belief that use is unauthorized, and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.
We will respond to valid notices and may remove infringing content and terminate repeat infringers' accounts.
12. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
13. Fees and Payments
Fees may apply for some or all features of the Service. Current pricing terms, including subscription tiers and renewal periods, are as displayed in the Service or otherwise communicated to you at the time of purchase or signup. We may change pricing or introduce, modify, suspend, or remove paid features at any time, with reasonable notice for material changes affecting an active paid subscription.
Where you initiate a paid transaction (whether one-time or recurring), you authorize us (and our payment processors) to charge the payment method on file according to the displayed pricing. Refund eligibility is governed by the policy in effect at the time of the transaction.
14. Suspension and Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violation of these Terms. You may terminate your account at any time by contacting us; account termination will result in deletion of your data on the schedule described in our Privacy Policy.
Sections that by their nature should survive termination (including Sections 6, 10, 11, 15, 16, 17, 18, 19, 20) will survive.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
AI-generated content, item-value estimates, market predictions, and shelf-sweep rankings are provided for informational purposes only and may be inaccurate. You assume all risk of relying on such information.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THRIFTEROS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, REGARDLESS OF LEGAL THEORY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED DOLLARS (US$100) OR THE AMOUNT YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the above limitations apply to the maximum extent permitted by law.
17. Indemnification
You agree to indemnify and hold harmless ThrifterOS and its affiliates, officers, directors, employees, and agents from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising from: (a) your User Content, (b) your use of the Service, (c) your violation of these Terms, (d) your violation of any third-party right (including intellectual property or privacy rights), or (e) any transaction or dispute between you and another user or third party.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of [GOVERNING STATE], USA, without regard to its conflict-of-laws principles.
Informal resolution first. Before filing any claim, you agree to contact us and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
Binding arbitration. Any dispute not resolved informally will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in [GOVERNING STATE], or via remote proceedings if mutually agreed. Arbitration will be conducted in English. The arbitrator's award is final and binding.
Class action waiver. You and ThrifterOS agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding. If a court finds the class waiver unenforceable, the entire arbitration agreement is null and void as to that claim.
Carve-outs. Either party may seek injunctive relief in court for intellectual-property claims or to prevent unauthorized access to the Service. You may also bring claims in small-claims court if they qualify.
30-day right to opt out. You may opt out of the arbitration agreement and class waiver by sending written notice to [OPERATOR EMAIL] within 30 days of first accepting these Terms. The notice must include your name, the email associated with your account, and a clear statement that you wish to opt out.
19. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Effective" date at the top and, for material changes, notify you in-app or by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
20. Miscellaneous
- Entire agreement. These Terms, the Privacy Policy, and any other policies we publish constitute the entire agreement between you and us regarding the Service.
- Severability. If any provision of these Terms is found unenforceable, the remainder will continue in full force.
- Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for failure to perform due to events beyond reasonable control (natural disasters, war, government action, internet outages, etc.).
